1. IMPORTANT: Pre-Launch Status & Disclaimers

• NO TOKEN LAUNCHED YET: As of the "Last Updated" date above, the CipherCoin token ($CIPHER) HAS NOT BEEN LAUNCHED. The name "CipherCoin" and ticker "$CIPHER" are TENTATIVE.
• FAKE TOKENS: Any token currently claiming to be CipherCoin or $CIPHER is FAKE and UNAUTHORIZED. Do not attempt to purchase or interact with them. Official launch details will ONLY be announced via our official channels AFTER launch.
• NO FINANCIAL ADVICE: Information provided through the Services is for informational purposes only and does not constitute financial advice, investment advice, trading advice, or any other sort of advice. You should not treat any of the Services' content as such.
• HIGH RISK: Engaging with cryptocurrencies and blockchain technology involves significant risk. The value of cryptocurrencies can be highly volatile. You acknowledge and accept all risks associated with using the Services, including the risk of losing any funds used to interact with related technologies (like Pump.fun, PumpSwap, or any future token). Conduct your own due diligence (DYOR).

2. Eligibility

You must be at least 18 years old or the age of legal majority in your jurisdiction to use our Services. By using the Services, you represent and warrant that you meet this requirement and have the full right, power, and authority to enter into and comply with these Terms.

3. Description of Services (Planned)

Our Services currently include providing information via our website and official channels. We plan to offer:

• An AI Dialogue Assessment System to evaluate user understanding and insights.
• Community channels for discussion and information dissemination.
• Future integration with the tentative $CIPHER token, planned for launch on Pump.fun and subsequent trading on PumpSwap.

4. User Conduct and Responsibilities

You agree not to use the Services to:

• Engage in any illegal activity or violate any applicable laws or regulations.
• Transmit spam, chain letters, or other unsolicited communications.
• Harass, abuse, stalk, threaten, or defame any person or entity.
• Attempt to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the Service.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.
• Engage in any activity that could harm, disable, overburden, or impair the Services.
• Spread false, inaccurate, or misleading information, especially regarding the Project or the (future) $CIPHER token.
• Attempt to manipulate the AI System or any associated reward mechanisms unfairly.
• NEVER share your private keys or wallet seed phrases with anyone, including anyone claiming to represent the Project. We will never ask for them.
• You are solely responsible for the security of your cryptocurrency wallet(s) used to interact with any related third-party platforms or future token contracts.

5. Intellectual Property

All content, trademarks, logos, and intellectual property related to the Project and its Services (excluding User Content) are the exclusive property of CipherCoin or its licensors. You are granted a limited, non-exclusive, non-transferable license to access and use the Services for their intended purposes.

You retain ownership of the content you submit through the Services, such as responses to the AI System ("User Content"). However, by submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content (especially anonymized or aggregated AI responses) for the purpose of operating, analyzing, improving, and promoting the Project and its Services.

6. AI Dialogue Assessment System

If you choose to participate in the AI System (when available):

• You understand its purpose is to assess understanding and gather insights.
• Participation does not guarantee any reward or specific outcome. Reward distribution (from the designated developer pool) will be based on criteria determined by the Project, potentially informed by the AI assessment.
• You are responsible for the accuracy and nature of your responses. Do not submit sensitive personal information.
• We reserve the right to use the insights gained from aggregated or anonymized responses to guide Project development, as described in Section 5 and our Privacy Policy.

7. Third-Party Services and Links

The Services may contain links to third-party websites or services (e.g., Pump.fun, PumpSwap, wallet providers, social media platforms) that are not owned or controlled by us. We do not endorse or assume any responsibility for any such third-party sites, information, materials, products, or services. Your interactions with these third parties are solely between you and the third party and are governed by their terms and privacy policies. You expressly relieve us from any and all liability arising from your use of any third-party website or service.

8. Disclaimers of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES' CONTENT OR THE CONTENT OF ANY WEBSITES LINKED TO THE SERVICES.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL CIPHERCOIN, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES OR ANY INTERACTION WITH THE (FUTURE) $CIPHER TOKEN OR RELATED THIRD-PARTY PLATFORMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Indemnification

You agree to defend, indemnify, and hold us harmless, including our affiliates, and their respective directors, officers, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of (a) your use of and access to the Service; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (d) any claim that your User Content caused damage to a third party.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles. Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by arbitration in Wilmington, Delaware, USA using the English language in accordance with the Arbitration Rules and Procedures of JAMS then in effect.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide reasonable notice prior to any new terms taking effect, likely via our website or official Twitter (@memecoin_fun). What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.
